Terms & Conditions
of B2B Supply & Distribution
1. Scope and parties
These terms of sale govern quotations, order confirmations and supply of products by Shandong Plurvel Medical Technology Co.,Ltd, Qufu, Shandong, China ("we", "us", "AestiSource") to professional customers ("you"). They apply to distributors, importers, clinics, medical spas and private label partners.
Our products are supplied exclusively for professional and business use. They are not supplied for resale to consumers unless a separate written agreement states otherwise. By placing an order you confirm that you are purchasing for a lawful business purpose and that you hold or will obtain the licences required in your market.
A signed supply agreement, order confirmation or formally agreed specification takes precedence over these terms where they conflict. No other terms, including any terms printed on your purchase order, apply unless we accept them in writing.
2. Quotations and order acceptance
Quotations are indicative and valid for the period stated, or for 30 days if no period is stated. A quotation is not an offer. A contract is formed only when we issue a written order confirmation or proforma invoice.
Orders are accepted subject to product availability, specification confirmation and the documentation requirements applicable to the destination market. We may decline an order where we cannot establish that the destination market requirements can be met.
You are responsible for confirming that the product, its labelling and its intended use comply with the regulations of the destination market, and for holding any import licence, registration or establishment of a local authorised representative required there.
3. Pricing and payment
Prices are quoted in the currency stated on the quotation, typically USD, EUR or CNY, and unless stated otherwise are exclusive of freight, insurance, duties and taxes. Quoted prices are held for the validity period of the quotation and may be adjusted for later orders in line with raw material and freight conditions.
Unless otherwise agreed in writing, payment terms are full payment in advance by bank transfer, or such other arrangement as is confirmed on the proforma invoice. Where credit terms are agreed, they are stated on the invoice and apply only to that invoice.
We may withhold dispatch where payment is outstanding on any invoice, or where a change in the destination market's regulatory position makes shipment inappropriate. Title to the goods does not pass until payment has been received in full, notwithstanding delivery.
4. Delivery, Incoterms and risk transfer
Delivery terms are stated as an Incoterms 2020 rule on the quotation and order confirmation. Risk in the goods passes to you at the point defined by that rule. Where no Incoterm is stated, the default is the point at which we hand the consignment to the carrier.
Delivery dates are estimates based on production and freight conditions at the time of order. We are not liable for delay caused by carriers, customs, or events beyond our reasonable control. Our Shipping & Delivery Policy sets out handling, cold chain and claims arrangements, and the order verification windows that apply on arrival.
5. Warranty and claim windows
We warrant that products conform to the agreed specification and to the manufacturer's release documentation applicable to the supplied batch. We do not warrant that a product is registered, approved or commercially permitted in your market — that is a matter for you as the importing party, with our document support.
Claims must be notified within the windows in our After-sales & Returns Policy. In particular, cold-chain and temperature deviations must be reported within 48 hours of delivery with the data logger record, and damage or shortage within 7 calendar days.
To the extent permitted by law, our obligation for a valid warranty claim is limited to the remedies set out in the After-sales & Returns Policy — replacement, replacement batch, refund or credit note of the affected value.
6. Product sourcing and traceability
Products are manufactured by licensed suppliers and released against batch documentation. Each consignment is accompanied by the documentation applicable to the product and market, such as a certificate of analysis, safety data sheet and available certificates. Batch numbers are recorded on the packaging and in our records to support traceability.
Products must be stored and transported within the conditions shown on the labelling at all times after delivery. You are responsible for maintaining these conditions and for the records that demonstrate them.
7. Intellectual property and private label
Where we supply under your brand, you confirm that any trademark, artwork or claim you provide is lawful and approved in the destination market, and you grant us the right to use it solely to produce your order. Where we supply our own or partner branding, no right in that branding is transferred to you.
We may decline to print any claim, wording or graphic on your behalf where it cannot be substantiated or would not comply with applicable medical device labelling rules.
8. Complaints, vigilance and recalls
Quality complaints and suspected adverse events must be reported through the channel in our Complaints & Vigilance page. We escalate product complaints and adverse events to the manufacturer and cooperate with reporting to competent authorities where required.
Where market action, a field safety corrective action or a recall affects a batch supplied to you, we will identify the affected records and notify you in writing, and we expect you to assist with tracing and, where directed, with recovery or quarantine of the affected goods in your market.
9. Limitation of liability
To the fullest extent permitted by applicable law, our aggregate liability arising out of or in connection with a supply is limited to the price paid for the affected goods. We are not liable for loss of profit, loss of opportunity, goodwill, or indirect or consequential loss.
Nothing in these terms excludes liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Product liability obligations that apply to us under mandatory law are preserved.
10. Regulatory responsibility allocation
Obligations under medical device regulation fall on different parties depending on the market. As the supplier we provide the documentation we are able to provide about the products. Where the same product is placed on the market under your name, or is repackaged, relabelled or otherwise altered by you, the resulting regulatory obligations — potentially including those of a manufacturer — rest with you. We recommend confirming this allocation with a regulatory adviser for each market before first import.
11. Confidentiality and data
Each party keeps confidential the commercial and technical information disclosed by the other in the course of an order, and uses it only to perform the transaction. How we handle information submitted through this website is described in our Privacy Policy.
12. Force majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural events, war, epidemic, regulatory action, transport failure, customs action or disruption of manufacturing. The affected party will notify the other promptly and take reasonable steps to mitigate.
13. Governing law and disputes
These terms are governed by the laws of the People's Republic of China, without prejudice to any mandatory consumer or product liability protections that apply in your jurisdiction. The parties will first attempt to resolve any dispute by good faith negotiation between authorised representatives. If a dispute is not resolved within 30 days of written notice, it may be referred to arbitration or to the competent court in the place of our establishment, as agreed between the parties.
Where a signed supply agreement between the parties specifies a different governing law or forum, that agreement governs.
14. Changes to these terms
We may update these terms. The version published on this page applies to orders placed after its publication date. The terms applicable to an order are those in force on the date the order confirmation is issued.
